01 Parties to the Agreement

This Music Distribution Agreement ("Agreement") is made between Ethanyangmusic Records ("Distributor") and the artist or legal entity ("Artist") submitting music for distribution. By submitting content, the Artist agrees to these terms.

02 Grant of Rights

Artist hereby grants Distributor a non-exclusive, worldwide license to distribute, market, and promote the musical works ("Content") provided by the Artist to various digital music stores, streaming services, and other digital platforms ("Platforms").

This license is granted to the Distributor without royalty obligation from the Distributor to the Artist for the act of distribution itself. The Artist retains all ownership of the Content and shall receive royalties from the Platforms as detailed in Section 4. This grant includes the right to reproduce, publicly perform, transmit, and make available the Content to end-users.

03 Term and Termination

This Agreement shall commence upon the Artist's acceptance of these terms and submission of Content, and shall continue until terminated by either party. Either party may terminate this Agreement with 30 days' written notice.

Upon termination, Distributor will initiate the takedown of Content from Platforms, subject to their respective processing times and the terms of the Platforms.

04 Royalties and Payments

Distributor agrees to pay Artist 100% of the net royalties received from Platforms attributable to the Artist's Content, after deduction of any third-party fees (e.g., payment processing fees).

          Payment terms: Payouts are processed monthly, typically 45–60 days after the end of the reporting month, once accumulated earnings reach a minimum threshold of $20.00 USD. All payouts are subject to verification of the Artist's chosen payout method details.
        

05 Artist's Warranties and Indemnification

Artist warrants that they own or control all rights in and to the Content and that the Content does not infringe upon the rights of any third party. Artist agrees to indemnify and hold harmless Distributor from any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from any breach of these warranties.

06 Distributor's Obligations

Use commercially reasonable efforts to distribute Content to selected Platforms.
Provide Artist with access to sales and streaming reports where available from Platforms.
Make timely payments of royalties in accordance with Section 4.
Process takedown requests in a reasonable timeframe upon Artist request or Agreement termination.

07 Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. This Agreement shall be governed by the laws of the jurisdiction in which the Distributor maintains its principal place of business. Any disputes arising under this Agreement shall be resolved in the courts of that jurisdiction.

This Agreement is supplementary to our Terms & Conditions. In the event of a conflict, the terms of this Agreement shall prevail with respect to distribution and royalty matters.
